OOC CREATOR TERMS AND CONDITIONS

These Creator Terms and Conditions (“Creator Terms”) govern the Creator program offered by the Company through the Services (the “Creator Program”). When we use the term “Creator” with an uppercase “C” (or “you,” or “your”) in these Creator Terms, we are referring to users of the Services who have agreed to these Creator Terms and meet certain specified criteria listed in these Creator Terms, as well as any additional requirements that may be included in connection with Creator Program offerings. These Creator Terms supplement, are subject to, incorporate by reference, and are made a part of, the OOC Terms of Service located at “https://login.ooc.ai/policy/service” (the “Terms of Service”). Capitalized terms not defined in these Creator Terms have the meanings assigned to them in the Terms of Service. By applying to participate, or participating in, the Creator Program, you agree to be bound by these Creator Terms and the Terms of Service.
1. Eligibility & Participation

Eligibility Requirements. To be eligible for the Creator Program, you must have a User Account in good standing, be in compliance with our Terms of Service and all applicable laws, and otherwise meet the eligibility criteria that the Company may establish from time to time. Further, you represent and warrant that you are not a person with whom individuals are not permitted to have dealings pursuant to economic sanctions, including sanctions administered by the United States Department of the Treasury’s Office of Foreign Assets Control or any other applicable sanctions authority. This includes persons located in, or a citizen of, or ordinarily resident in, the following countries and regions: Cuba, Iran, the Crimea Region of Ukraine, North Korea and Syria. The Company may approve, deny, or revoke Creator status at its discretion. The Company has the sole right to add or modify Creator eligibility requirements and is permitted to do so at any time.
2.
Onboarding. You must complete all applicable onboarding requirements to participate in the Creator Program before you are eligible to receive Credit Payouts (as defined below). You confirm and agree that all information you submit in connection with the Creator Program is truthful, accurate and complete, and you agree to notify us promptly of any changes to the information you provide to us.
3.
Independent Contractor Status. Creators are independent contractors and not employees, agents, or partners of the Company.
4.
Creator User Account. Your Creator status is tied to your User Account. You may not participate in the Creator Program without an active and valid User Account. Suspension or termination of your User Account will result in the termination of your participation in the Creator Program.
2. Credits
1.
Creator Credit Payout Eligibility. As a Creator, you must elect to designate the User Content you post to the Services as “Public” or “Private.” Only User Content you post as “Public” will make you eligible to receive Credits in connection with the User Content you post on the Services. Eligibility to participate in the Creator program and receive Credit payouts (“Credit Payouts”) is subject to the requirements, criteria, and procedures established by the Company from time to time. If you meet the applicable eligibility requirements, the Company may, in its discretion, provide Credit Payouts in connection with User Content you create and make available through the Services. Credit Payouts, if any, will be determined based on the performance metrics, thresholds, and other criteria established by the Company from time to time. The Company retains sole discretion to determine eligibility requirements, applicable payout rates, and other program rules. The Company may modify such requirements, rates, metrics, or rules on a prospective basis upon notice.
2.
No Ownership Rights. Creators do not own Credit Payouts received. Credit Payouts represent a revocable license within the Services. Only the Company is authorized to convert Credits into Credit Payouts.
3. Credit Payouts, Taxes, and Payment Rules

Credit Payout Requirements and Timing. To receive Credit Payouts, you must maintain a valid User Account in good standing. Credit Payouts are processed in arrears on the first day of each calendar month.
2.
Tax Obligations. Creators are solely responsible for determining, reporting, and paying any taxes associated with Credit Payouts. The Company may issue tax forms or reports as required by law and may withhold amounts where required.
3.
Chargebacks, Fraud, and Adjustments. The Company may delay, reduce, reverse, or withhold Credit Payouts if it suspects:

fraud;
•
manipulation of Credits;
•
chargebacks;
•
suspicious gifting activity;
•
Terms of Service violations; or
•
errors or system misuse.
Creators are not entitled to Credit Payouts related to User Content that violates the Terms of Service, applicable community guidelines, or any Company policies, or resulting from unauthorized, invalid, or fraudulent activity.

No Assurances. We make no representations, warranties or guarantees, express or implied, about the amount of any Credit Payouts you will receive. Any Credit Payouts you receive do not reflect or guarantee your entitlement to any future payment.
4. Creator Content & Licensing

Content Requirements. As a Creator, you must comply with all User Content rules, Company policies, community guidelines, and applicable laws. You are responsible for all content you produce or publish.
2.
License to the Company. As a Creator, you grant the Company a worldwide, non-exclusive, royalty-free, transferable, and sublicensable license to use, store, reproduce, host, display, perform, distribute, and create derivative works from your User Content (including your Creator name, handle, likeness, logos, and trademarks embedded in that User Content) in any media now known or later developed. This license includes the right for the Company to make your User Content available to and through our service providers and partners (including content delivery networks, analytics providers, payment processors, and hosting providers).
3.
License to Other Users. For User Content you designate as Public, you grant each other user of the Services a limited, revocable, non-exclusive, non-transferable, and non-sublicensable license to access and view such User Content through the Services for their personal, non-commercial use only, subject to these Creator Terms and the Terms of Service. This license does not permit users to reproduce, download (except for temporary caching by the Services), distribute, publicly perform, publicly display, make derivative works from, or otherwise use your User Content outside the Services without your express permission, except as otherwise permitted by applicable law.
4.
Reservation of Rights. Except for the licenses expressly granted in these Creator Terms, you retain all right, title, and interest in and to your User Content. Nothing in these Creator Terms transfers ownership of any intellectual property rights in your User Content to the Company or to other users.
5.
No Compensation. Except as expressly set forth in these Creator Terms, no fees or additional payments are due for the licenses granted in this section.
6.
Intellectual Property. You represent and warrant that User Content you provide as a Creator complies with the terms of the Terms of Service and does not infringe any third-party rights. You will defend and indemnify the Company from claims arising from your User Content.
5. Creator Conduct & Restrictions.
In connection with participation in the Creator Program, Creators must not:
•
engage in fraud, self-gifting, artificial inflation of Credits, or coordinated gifting behavior;
•
offer or accept payments outside the platform for Credits or Credit Payouts;
•
promise other users of the Services personal benefits, financial returns, or off-platform rewards in exchange for Credits;
•
violate any laws, the Terms of Service, or any applicable community guidelines or Company policies.
The Company may take enforcement action including suspension, termination, forfeiture of Credit Payouts, or other remedies.
6. Program Changes & Termination
1.
Changes to the Creator Program. The Company may modify, suspend, or terminate the Creator Program at any time. This includes changes to eligibility, Credit Payout rates, thresholds, features, or program structure.
2.
Termination by Creator. You may stop participating in the Creator Program at any time by terminating your User Account. Upon termination, you will forfeit any unconverted Credits associated with your User Account unless otherwise required by applicable law or explicitly stated by the Company.
3.
Termination by Company. The Company may suspend or terminate your Creator status for any reason, including violations of these Creator Terms, the Terms of Service, or harmful behavior.
4.
Effect of Termination. Upon termination:
•
unconverted Credits may be forfeited;
•
pending Credit Payouts may be withheld if termination is related to fraud or violations of these Creator Terms, the Terms of Service, or applicable law; and
•
your license to use Creator tools and features immediately ends.
7. Disclaimers & Limitation of Liability.
All disclaimers and limitations in the Terms of Service apply in full to your participation in the Creator Program. The Company is not liable for:
•
losses due to changes in Creator Program rules;
•
missed or delayed Credit Payouts.
8. Updates to these Creator Terms.
The Company may update or modify these Creator Terms from time to time. We will notify you of material changes to these Creator Terms by posting the amended terms on the Services reasonably in advance of the effective date of the changes. Continued use of the Services after the effective date of applicable changes constitutes your acceptance of the revised Creator Terms.
